The MLS Fantasy Challenge ("Contest") is sponsored by Fox Soccer Channel LLC, 10201 W. Pico Boulevard, Building 103, Los Angeles, CA 90035 and Major League Soccer LLC, 420 5th Avenue, 7th Floor, New York, NY 10018 (individually and collectively the "Sponsor(s)").

1. Eligibility
|
Contest open only to legal residents of the United States of America (including Puerto Rico, but excluding Rhode Island) or Canada. To be eligible to win a prize, Contest entrants must be 18 years of age or older as of March 10, 2009 and a legal resident of the United States or Canada. Residents of Montana, Vermont, Louisiana, North Dakota, Minnesota, Arizona, Florida, Maryland, Colorado and the province of Quebec may play, but WILL NOT be eligible to win or receive any prizes. The Contest is VOID where prohibited. Excluded individuals may play the Contest and have their name noted in the standings but WILL NOT be eligible to receive any prizes. (e.g. Entrants who are between the ages of 13 and 17 years of age may register to play the Contest, but WILL NOT be eligible to win or receive any prizes.) If you are selected as a winner but are not eligible to win any prizes, the prize will be awarded to the person with the next highest score in accordance with these Official Rules.
Employees, officers, directors, agents, representatives and their immediate family and/or household members of Sponsor, and its parents, subsidiaries, affiliates, advertising and promotion agencies, and any and all other companies associated with this Contest are not eligible to win. Each user in the Contest must be the rightful owner or have authorized use of the e-mail account indicated by the user's e-mail address. Limit one (1) participant per valid e-mail address. In the event of a dispute as to the identity of the winner, the winner will be deemed to be the person in whose name the e-mail account is opened.

2. How To Enter
|
To enter, visit www.mlsnet.com or www.foxsoccer.com, click on the appropriate links to the "MLS Fantasy Challenge" and complete the online registration process. You must complete the online registration, with your legal first and last name and your current and valid e-mail address, in order to purchase a team. STATS, LLC, acts as the administrator of the Contest. Entrants will be asked to create a user ID and password, which they will use for future login to their team page.
You may enter/register for the Contest at any time during the Overall Contest Period, subject to these Official Rules.

Leagues (Optional)
When entering you can create or join a public or private league of friends to compete against. When creating a private league, you will be asked to enter a league name and password which can be used by your friends to join at anytime. Joining or creating a league is optional and no additional prizes will be awarded for league winners.

3. How To Play
Once registered, you may enter the Contest by first selecting a team name and then selecting a 15-man roster - 14 players and 1 coach. From that 15-man roster, you must submit a starting lineup of 11 players and 1 coach each week, otherwise your team is invalid and therefore will receive 0 points.
When selecting a fantasy team of 15, you must remain under the $5,000,000 budget (including the coach). In addition, no more than three (3) players from the same MLS team can be selected to your fantasy squad during any Contest Week. The coach position does not count towards the 3 player limit. If a player is transferred during the season and this transfer takes you over this limit, then you will need to go back under this limit when making your next changes.
When submitting a starting lineup, you may choose from 4 different formations: 4-4-2, 4-3-3, 3-4-3 or 3-5-2.
In addition, you must designate one player as your team captain. All fantasy points earned in the Contest Week by the designated team captain will be doubled. Any of the 11 players in your starting lineup may be designated as a team captain. Coaches are not eligible to be team captains. Team captains may be changed for a Contest Week up to the same transfer deadlines listed below.
Players may be added to the available player list throughout the contest as they are included on MLS rosters.
Player position listings are final and will not change during the course of the Contest.
Player salaries will change each week during the season based on performance. See PLAYER SALARIES below.

Player Salaries
Initial player salaries are based on a combination of the prior season's performance and expected 2009 performance. During the season, player salaries will be updated on a weekly basis based on performance. Every Monday, player salaries will be announced just prior to the weekly transfer window opening for that week.
If you have any player on your roster that receives an increase in salary, your team value will increase by that amount for each player. (e.g., if your team value is $5,000,000 and after Week 3 you have 2 players on your roster that each receive a $30,000 upgrade, then from Week 4 forward, your team value is $5,060,000). Player values may decrease as well, however, your team value will never drop below the initial $5,000,000 budget. All salary increases go into effect on Monday during the appropriate week. In order to receive credit for the salary increase, you must have that player on your current roster at the time the raises are announced. For example, to take advantage of the salary increases that occur after Week 3, you must have those players on your Week 3 roster by the trading deadline for that week.

Player Transfers
Prior to the start of the start of the season, you may make unlimited transfers to your team. Once the first match of the season starts, each team is limited to a maximum of three (3) transfers in any one Contest Week. You may transfer players and coaches in and out of your team as many times in a week as long as you remain under your current budget and do not exceed 3 total transfers in the week.
All transfers must be completed prior to the deadlines listed below to be eligible for that Contest Week. In most cases, the deadline to make transfers and submit a starting lineup is 11:30am ET every Saturday. If a player plays earlier in the week (Wednesday, Thursday or Friday), that player locks 1 hour prior to the start of that early game and his status cannot be edited again until the following week. For example, if a player plays at 8pm ET on Thursday and again on Sunday, that player can be added up to 7pm ET on Thursday. After 7pm ET on Thursday, that player cannot be added, dropped or his lineup status changed until the following Monday. Once the deadline of 11:30am ET on Saturday passes, your team for that Contest Week is locked. Transfers can be made for the following week every Monday after player salaries have been updated. (in the event a game is rescheduled for a Monday or Tuesday, player transfers will not open until the rescheduled game is complete).
Attempts to make transfers which would result in the combined value for all players on a user's team to exceed your current budget will be rejected.

A "Hat Trick" is awarded if a player scores three (3) or more goals in one game. By way of example only, if a forward scores three (3) goals in one game he is awarded twenty (20) points for each goal, plus an additional twenty (20) bonus points for a game total of eighty (80) points.
A "Clean sheet" is awarded to goalkeepers and defenders who play for an entire match in which their team does not allow the opposition to score.
Team Captain Selection
All fantasy points earned by the designated team captain will be doubled during each Contest Week.

Sportsmanship
Sponsor reserves the right to disqualify and remove any user from the Contest if it is deemed by Sponsor that the user has exemplified conduct that in any way adversely affects another user's experience.

4. Contest Weeks
|
The Contest consists of 32 Contest weekly periods ("Contest Week 1", "Contest Week 2", etc., collectively "Contest Weeks"). All Contest Weeks will begin on Wednesday morning and end on Tuesday night. All games played between Wednesday and Tuesday are included in scoring for that Contest Week. To be eligible for a Contest Week, all changes to your team must be submitted by 11:30am ET on Saturday. If a player plays earlier in the week (Wednesday, Thursday or Friday), that player locks 1 hour prior to the start of that early game and his status cannot be edited again until the following week.

5. Prizes
|
Overall Prizes:
Overall Grand Prize: One (1) Overall Grand Prize Winner with the most total points at the conclusion of the Contest will receive a trip for two (2) to the MLS CupTM 2009. The trip includes roundtrip coach class airfare for two (2) on an airline selected by Sponsor, from the major commercial airport (with regularly scheduled passenger flights) nearest winner's primary residence to the major commercial airport (with regularly scheduled passenger flights) nearest the MLS CupTM 2009 location, two (2) nights lodging at a hotel selected by Sponsor (one (1) room - double occupancy, room and tax only) and two (2) tickets to the MLS Cup TM 2009. Trip must be taken on the dates and times specified by Sponsor. No extension(s) will be granted. Total Approximate Retail Value ("ARV") for the Overall Grand Prize: $2,000. Actual value may vary based on initial point of departure. If the Grand Prize winner's traveling companion may only be under 18 if the Grand Prize winner is such person's parent or legal guardian.
Overall 2nd - 5th Prizes: The four (4) entrants with the 2nd-5th highest point totals at the conclusion of the Contest will receive an autographed MLS All-Star Jersey. ARV for each prize: $300
Overall 6th - 10th Prizes: The five (5) entrants with the 6th-10th highest point totals at the conclusion of the Contest will receive an autographed MLS All-Star Ball. ARV for each prize: $300
Overall 11th - 20th Prizes: The ten (10) entrants with the 11th-20th highest point totals at the conclusion of the Contest will receive a size large, Official MLS Team home jersey of choice. T ARV for each prize: $75.00
Overall 21st - 50th Prizes: The thirty (30) entrants with the 21st-50th highest total points at the conclusion of the Contest will receive an Official adidas MLS Match Ball. ARV for each prize: $125
Overall 51st - 150th Prizes: The one-hundred (100) entrants with the 51st-150th highest total points at the conclusion of the Contest will receive an Official MLS adidas Mini-ball. ARV for each prize: $10
Overall 151st - 200th Prizes: The fifty (50) entrants with the 151st-200th highest total points at the conclusion of the Contest will receive a size large MLS t-shirt. ARV for each prize: $15
Overall 201st - 400th Prizes: The two-hundred (200) entrants with the 201st-400th highest total points at the conclusion of the Contest will receive a 2009 season poster.ARV for each prize: $10
Mid-Season Prizes:
Mid-Season Grand Prize: One (1) Mid-season Grand Prize Winner with the most total points from the beginning of the Contest through June 28, 2009 will receive a trip for two (2) to the 2009 MLS All-Star Game. The trip includes roundtrip coach class airfare for two (2) on an airline selected by Sponsor, from the major commercial airport (with regularly scheduled passenger flights) nearest winner's primary residence to the major commercial airport (with regularly scheduled passenger flights) nearest the 2009 MLS All-Star Game location, two (2) nights lodging at a hotel selected by Sponsor (one (1) room - double occupancy, room and tax only) and two (2) tickets to the 2009 MLS All-Star Game. Trip must be taken on the dates and times specified by Sponsor. No extension(s) will be granted. Total ARV for the Mid-Season Grand Prize: $2,000. Actual value may vary based on initial point of departure.
Mid-Season 2nd - 10th Prizes: The nine (9) entrants with the 2nd-10th highest point totals from the beginning of the Contest through June 28, 2009 will receive a size L home jersey from the MLS Team of Choice. ARV for each prize: $250
Mid-Season 11th - 30th Prizes: The twenty (20) entrants with the 11th-30th highest point totals from the beginning of the Contest through June 28, 2009 will receive an MLS cap. ARV for each prize: $15
The TOTAL ARV OF ALL PRIZES FOR THE ENTIRE CONTEST is $19,425.
TIE-BREAKING: In the event ties exist at any prize level, ties will be resolved as follows:
Overall Grand Prize and the 1st-last overall place prizes:
Tiebreaker 1: Most MLS points earned in a single week during the season.
Tiebreaker 2: Second most MLS points earned in a single week during the season.
Tiebreaker 3: Most MLS points earned during two consecutive weeks during the season.
If in any of the above instances a tie continues, Sponsor retains sole discretion as to whether to select multiple winners or to implement an additional tiebreaker. All decisions of Sponsor regarding the foregoing are binding and final. All unclaimed prizes will be forfeited and Sponsor will select a runner-up, in its sole discretion.
Sponsor is not responsible for and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify Prize Winners. If a prize is declined or undeliverable, or the winner fails to timely return the above documents the original winner will be disqualified and Sponsor will select a runner-up. If a member of the Contest community wins a prize that Sponsor determines in its sole discretion he/she is ineligible to receive, Sponsor will select a runner-up for such prize. All Prize Winners are responsible for reporting and payment of all taxes and any other expenses not specified above.
Contest entrants understand that the Contest's results are final in all respects and all decisions regarding the Contest, including, but not limited to, selecting potential Prize Winners and awarding prizes, will be made by Sponsor, whose decisions will be final and binding. Prize Winners consent to the use by Sponsor and their respective designees of their names and likenesses for advertising, publicity and promotional purposes in any media, including for use on the Sponsor web sites (www.foxsoccer.com and www.mlsnet.com), without any additional compensation (except where prohibited by law).
No cash or prize substitution is allowed for any prize, or any portion thereof, except at the discretion of Sponsor. All prizes will be awarded. Sponsors in their sole discretion may substitute cash or a different prize of approximately equivalent or greater retail value except where prohibited by law. If any prize cannot be awarded due to circumstances beyond the control of Sponsor, including any Grand Prize winner is not available for travel on the dates specified by Sponsor, such prize may be forfeited and awarded to an alternate winner in accordance with these official rules. All costs and expenses not specified in any prizing description above, including, but not limited to, additional transportation (rental car or taxi fares), meals, gratuities, travel insurance, security fees and all federal, state and/or local taxes, are the responsibility of the respective winner. All prizes, and any portion thereof, are non-transferable, non-refundable for cash and non-changeable once issued. If lost, it will not be replaced, in whole or in part. If any Grand Prize winner does not use any portion their Grand Prize no other compensation for the unused portion of such Grand Prize, in whole or in-part, will be provided. Any attempt by any Grand Prize winner to transfer or sell any portion of their Grand Prize shall immediately forfeit that portion of such Grand Prize or such entire Grand Prize, as determined by Sponsors in their sole discretion, and such Grand Prize winner shall not be eligible to win any future prizes from Sponsors. Sponsor is not responsible for last-minute airline schedule changes or delays or unforeseen complications with accommodations (including but not limited to reservation errors made by the airline(s) or hotel(s)). Depiction of any prize in any advertising, promotional materials, or on any Contest related website may not reflect the actual prize(s) delivered to the winners. Each winner bear all risk of loss or damage to their prize (including tickets, reservations, etc.) after it has been delivered to such winner. Winners may be issued an IRS Form 1099 for the ARV of any awarded prize. All federal, state or other tax liabilities we be the sole responsibility of the prizewinners.

Claiming Prizes/Releases
Eligibility, age and all claims made by winners are subject to verification. Sponsors are not responsible for fraudulent e-mails/calls/mail sent to entrants by someone other than Sponsors. Prize winners may be required, in Sponsors' sole discretion, to complete, sign, have notarized and return an Affidavit of Eligibility/Prize Acceptance/Liability & Publicity Release Form, except where prohibited by law, within three (3) business days of winner's receipt of same. By accepting prize, winners consent to the use of their names, photographs and likenesses for advertising, trade and promotional purposes in all media without additional compensation, except where prohibited by law. If a selected potential winner fails to comply with official rules and/or to submit required documentation within the designated period, the prize will be forfeited and an alternate winner may be selected at Sponsors' sole discretion. By accepting prize, winners further acknowledge that Sponsors has neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied in fact or in law, relative to prize or prize suppliers or to any portion thereof, including but not limited to its quality, merchantability, mechanical condition, or fitness for a particular purpose.

Odds of winning depend on the total number of eligible entries received and on the knowledge and skill of the user.

6. General
By participating, users agree to be bound by these complete Official Rules and the decisions of Sponsors, which shall be final, and waive any right to claim ambiguity in the Contest and/or these Official Rules. All decisions made by Sponsors are final. Sponsors reserve the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest. Sponsors and their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, directors, general and limited partners, officers, employees, agents, independent contractors and advertising and promotional agencies make no warranties, express or implied, relative to the use or enjoyment of any prize or portions thereof, including without limitation, its quality, merchantability or fitness for a particular purpose. By entering the Contest and/or accepting prizes, entrants/prize winners agree to: (a) be bound by these rules; and (b) to hold harmless and fully release Sponsors and their respective parent companies, general and limited partners, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, independent contractors, advertising and promotion partners, fulfillment and/or judging agencies, retailers, franchises, and their agents (collectively "Releasees") from all liability, claims, action, or proceedings relating to the Contest and from injuries or damages arising in connection with or relating to participation in the Contest or from the acceptance, possession, quality, use or misuse of any prize or portion of any prize. All taxes and other expenses not specified herein, including federal, state, local, and departure, licenses and registrations, are the sole responsibility of the winners. Winners may be issued 1099 tax forms for the ARV of any awarded prizes. All federal, state and local laws and regulations apply. Sponsors and their respective parent companies, affiliates, subsidiaries and advertising and promotions agencies are not responsible for and shall not be liable for: (i) late, lost, delayed inaccurate, misdirected, incomplete or unintelligible entries, telephone system or computer malfunctions, any error, omission, interruption, deletion, defect, delay in operation or transmission, lost connections, dis-connections, transmission errors, theft or destruction or unauthorized access to, or alteration of entries; (ii) any injuries, losses or damages of any kind caused by the acceptance, possession or usage of any prize or from participating in the Contest; or (iii) any printing, typographical, administrative or technological errors in any material associated with the Contest. Sponsors reserve the right, in their sole discretion, to cancel, modify or suspend this Contest should a virus, bug, computer problem or other causes beyond Sponsors' control corrupt the administration, security or proper play of the Contest. Sponsors may prohibit any entrant from participating in the Contest or winning a prize if, in their sole discretion, they determine such entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking deception, or any other unfair playing practices or intending to annoy, abuse, threaten or harass any other entrants or Sponsors' representatives. In the case of a dispute, the winner will be deemed to be the person in whose name the email account or telephone service account is opened. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION OF SUCH ENTRANT AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. This Contest is a skill contest designed to increase consumer awareness of and interest in Major League Soccer. This Contest may not be used for any form of gambling.

7. Limitations of Liability
Notwithstanding anything to the contrary contained herein, Releasees shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsors' sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Furthermore, Releasees shall not be liable for any loss or damage to baggage.

8. Unforeseen Events
If for any reason (including, but not limited to, strikes, lock-outs, acts of God, acts of war or terrorism, technical difficulties, and other events not within the reasonable control of Sponsors) any of the Sponsors cannot continue the Contest, then the Contest will not resume until the affected Sponsor resumes normal business, if ever. In the event that this Contest is challenged by any legal or regulatory authority (including but not limited to any federal or state governmental authority, MLS or the FAPL), Sponsors reserve the right to discontinue or modify the Contest, as applicable, or to disqualify entrants residing in any affected geographic areas, as applicable. In such event, Sponsors shall have no liability to any entrants who are disqualified due to such an action.
